The United Reformed
Churches Ministers’ Pension Trust Limited and the United Reformed
Church Trust
seeks to appoint a
Company Secretary and
Clerk to the Trustees
To work 2 days a week
Salary: to be negotiated
This highly specialised role covers two
distinct but interconnected areas requiring an individual to work
part-time, (equivalent to two days a week), although it is expected
that the individual will be flexible to meet the needs of the two
Trusts meetings, which normally occur four times a year.
The URC Ministers’ Pension Trust Ltd
The United Reformed Church Ministers’
Pension Trust Limited is the Trustee for the Pension Fund, which
pays pensions to URC Ministers & Church Related Community Workers
and their widows. It has assets in the region of £80 million and is
funded by contributions from active participants and other
ecumenical organisations employing URC personnel. The detailed
administration of the Fund and payment of pensions is undertaken by
the URC Finance Department. The Fund has a full team of professional
advisers on actuarial, legal and investment aspects of its work. It
has twelve Directors, four appointed by the Church, four ex officio
and four “Member Nominated Trustees”, drawn from active and retired
participants.
The URC Trust
The United Reformed Church Trust is a
company limited by guarantee and has been the custodian trustee of
the assets of the Church including its investments which are
currently £22 million. It is now also the ‘managing‘ trustee of the
United Reformed Church. There are presently four committees which
report annually to the Trustees (the Audit Committee, the Church
House Management Group Committee, the Investment Committee and the
Remuneration Committee). The Investment Committee usually meets
before each Board meeting and at other times as required. It
receives regular reports and information from the Investment Fund
Managers who meet once a year; the Chairman and the Clerk to the
Trustees normally attend these meeting
In addition to having the usual
professional qualifications and a strong track record in this area,
successful candidates should be able to demonstrate that they can:
-
arrange, attend and minute meetings of the Board, the
Investment Committee and other committees or working groups set up from time to
time; prepare meeting agendas and papers for such meetings;

attend to the legal aspects of the Companies according to Charity, Company and
Pension Fund Law, ensuring the necessary reports and records are in place and
communicated to the relevant authorities;

act as link with professional advisers and ensure adequate
communication between them and the Board;deal with general correspondence on behalf of the Companies;

liaise between the Board, its professional advisers and the
relevant departments and officers of the Church on Pensions matters. The
Secretary would primarily be responsible to the Board through its Chairman, but
would work within the financial team at its central offices (Church House); and
-
in conjunction with the Chairman suggest to the Church the names for the
selection of new Trustees at appropriate stages.
